| Returned Check Policy: Returned checks or Stop Payments must be replaced with a certified check for the total amount of the returned check plus an additional $35.00 service charge. |

| Terms: Deposits are required on all first time orders and continue to be required until terms are established. You will be asked to either pre-pay or pay via credit card. All customers must complete and sign a credit application to be considered for an open account. Upon credit approval, terms are Net 15 or Net 30. Payments not received within terms will cause production delays on current and future orders. 2% interest charge may be assessed on all past due balances. Any accounts 46 days or more, will be placed on credit hold until your account is current. Terms may be revoked without notice. Even with the approval of credit terms, partial pre-payment may be required on certain high dollar amount orders. All invoices and statements are in U.S. Funds. |

| “In Hands Date.” For best service, please specify your “in-hands date” information supported by expedited production and shipment instructions. If there is an “in-hands” date on the order without specifying shipping instructions, we reserve the right to ship using the least expensive overnight air service while meeting your “in-hands date” deadline. Tops Pen Co. is not responsible for delivery delays or missed events caused by freight carriers, acts of God, weather conditions, environmental, strikes, fires or other causes beyond our control. |

| Layout/Ad Copy: Each order must be typed or legibly printed. The factory is not responsible for errors from hand written copy. Typestyles will be duplicated as closely as possible when requested. If copy is too large for item, the factory reserves the right to set up for best appearance at Tops Pen Co.’s discretion using the maximum imprint area, unless specified on the purchase order. |

| Screen/Set Up Charges: Please note set up or screen charges can vary from product to product. Please see individual product for specific information. Additional colors will require a set up charge per color, plus additional color run charges, unless otherwise indicated. |

| Art Charge: The factory will typeset straight- line copy at no charge. Supplied artwork must be camera ready. In the event that the artwork is not clean, crisp, and consistent, art services are available. Art works varies. We will estimate on a case-by-case basis. Non-production-ready artwork is subject to a longer lead time. Factory reserves the right to determine if artwork is camera ready. |

| Quantity Breaks: Lower quantity price applies. |
|
| Standard Production: Varies by product. Standard Production times are approximately 10-15 working days. For outsourced items see item for production time. Please also allow for transit time from the factory. Production time begins when usable artwork and complete purchase order with details clarified and all proofs approved arrive at factory and credit has been established or payment received. |

| Rush Service: Available for accounts in good standing. Rush service is available on some items. Contact factory prior to ordering to get a special quote, get stock availability and production schedule. |
|
| Cancellation/Corrections: Order cancellations may be made only with the agreement of the factory. Cancellations/Corrections will result in factory billing for work already performed to that point. Cancellation or corrections must be received in writing and approved by the factory. Once an order has been printed, it cannot be cancelled. |

| Overrun/Underrun: All orders are subject to a 5 to 7% over/under run and will be shipped and invoiced accordingly. Orders specifying exact quantities are not always available and may incur an extra charge. |
|
| Shipping: The customer is responsible for all shipping charges FOB factory, unless otherwise specified. Factory makes every effort to meet your requested ship date. However, we cannot be held responsible if delivery is delayed by carrier. All orders will ship via United Parcel Service or “Best Way”, F.O.B. production facility. |

| Guarantee: All products are guaranteed against defects in material and printing subject to normal consumer applications. |
|
| Returned Merchandise: Returned claims must be made in writing within 30 working days after receipt of goods. Customers are strongly urged to inspect merchandise upon receipt of goods regardless of the use date of the order. No returns will be accepted without prior written authorization. |

| Complaints/Adjustments: All claims of damaged goods must be made in writing within 30 days of receipt of merchandise. Unimprinted merchandise returns are subject to a 20% restocking fee plus applicable freight charges. Printed orders may not be returned without prior written authorization. Please send a sample of the defective merchandise with your written request for return/adjustment. Unauthorized returns will be refused. Claims must be filed within 30 days of ship date or our quality guarantee is voided. |

| Trademark Note: Tops Pen Co. assumes that artwork submitted for reproduction in producing an order was submitted in full compliance with the laws governing copyright, trademarks etc. Purchasers, by placing these orders agree not to hold Tops Pen Co. responsible for any damages, costs and/or expenses arising under these laws as a consequence or our use of said artwork. |
